These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Vertex Ages Fashion Ltd ("we", "us", or "our"), concerning your access to and use of our website as well as any other media form, media channel, or mobile website related, linked, or otherwise connected thereto.

You agree that by accessing the site, you have read, understood, and agree to be bound by all of these Terms and Conditions. If you do not agree with all of these Terms and Conditions, then you are expressly prohibited from using the site and our services.

We make every effort to display as accurately as possible the colors, features, specifications, and details of the apparel, trims, fabrics, and packaging products available through our sourcing services.

• However, we do not guarantee that the colors, features, specifications, and details of the products will be accurate, complete, reliable, current, or free of other errors, and your electronic display may not accurately reflect the actual colors and details of the products.
• All products are subject to availability, and we cannot guarantee that items will be in stock for immediate bulk sourcing.
• We reserve the right to discontinue any products at any time for any reason. Prices for all products are subject to change without notice due to global market fluctuations.

For B2B wholesale and sourcing orders, a separate commercial invoice and purchase order agreement will be provided. The terms on that specific commercial agreement will supersede general website terms where applicable.

We reserve the right to refuse any order placed through our platform or direct communication. We may, in our sole discretion, limit or cancel quantities purchased per person, per household, or per order. In the event that we make a change to or cancel an order, we will attempt to notify you by contacting the email and/or billing address/phone number provided at the time the order was made.

Regarding our commitments to on-time delivery, we highly emphasize our clients. However, global shipping timelines can be impacted by customs, port delays, and circumstances beyond our control (Force Majeure).

• Delivery times are estimates and commence from the date of final sample approval and production commencement.
• Freight (FOB, CIF, EXW) and logistics responsibilities will be distinctly outlined in the final Purchase Order.
• Risk of loss and title for items purchased from us pass to you upon our delivery to the carrier, unless otherwise specified in your specific B2B contract.

Unless otherwise indicated, the Site is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the “Content”) and the trademarks, service marks, and logos contained therein are owned or controlled by us or licensed to us.

Client tech-packs, designs, and proprietary brand labels (e.g., woven labels, hangtags) provided to us for manufacturing remain the strict intellectual property of the respective client.

In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the site or our sourcing services.
